ForgePoint Terms & Conditions

By creating an account, accessing, or using the ForgePoint application (the "Software"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms form a legally binding agreement between you ("you", "the User") and ForgeWorks Labs ("we", "us", "our").

If you do not agree to these Terms, you must not access or use the Software or any related services.

Account Creation:To access the full functionality of the Software, you must create a user account. You agree to provide accurate and complete information (First Name, Last Name, Email Address) and to keep this information up to date.

Account Security:You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

Prohibition on Sharing:You may not share, sell, or transfer your account to any other person. Account sharing is a material breach of these Terms and will result in immediate termination of your account and forfeiture of any remaining credits.

Limited License:We grant you a limited, non-exclusive, non-transferable, and revocable license to install and use the Software on a compatible device that you own or control, solely for your personal use.

Prohibited Actions:You agree not to:

• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Modify, adapt, translate, or create derivative works based on the Software.
• Use the Software for any purpose that is illegal or prohibited by these Terms, including any modifications that would make a vehicle unlawful for use on public roads in the United Kingdom or your local jurisdiction.
• Bypass or tamper with the Software’s security, authentication, or credit purchase systems.
• Distribute your account or credits to other individuals.

Credit System:The Software is free to download, but certain features and functions require the use of "Credits." Credits must be purchased within the Software. All prices are subject to change without notice.

Payment Processing:All purchases of Credits are processed through our third-party payment processor, Stripe. By making a purchase, you agree to be bound by Stripe's terms and conditions. We do not store or have access to your full payment card details.

Refund Policy:All purchases of Credits are final and non-refundable. However, if Credits are deducted for a function that fails to execute on a vehicle model that is officially listed as supported by us, we may, at our sole discretion, restore the deducted Credits to your account. This does not affect your statutory rights under the Consumer Rights Act 2015.

We are committed to protecting your privacy.

Data We Collect:We collect your first name, last name, and email address to manage your account. For security and functionality, we also collect your device's MAC address and Windows Device UID, along with limited, anonymised usage analytics.

Vehicle Data:The Software does not automatically collect or transmit any data from your vehicle to our servers. You may voluntarily choose to send us diagnostic logs for support purposes.

Data Handling:Your data is stored on secure servers. We will not share your personal data with any third parties. For more detailed information, please review our separate Privacy Policy.

No Affiliation:ForgePoint is an independent application. We are not affiliated with, authorised by, or in any way officially connected with General Motors (GM), Stellantis, Opel, Vauxhall, or any of their subsidiaries or affiliates. All product and company names are the registered trademarks of their original owners.

"AS IS" Basis:The Software is provided "as is" and "as available," without any warranties of any kind, either express or implied. We do not warrant that the Software will be error-free, that it will meet your requirements, or that diagnostic results will be accurate.

User Assumes All Risk:You acknowledge that vehicle diagnostics and programming carry significant risks. You agree that you use the Software at your sole risk. These risks include, but are not limited to:

• Causing permanent damage to a vehicle's Electronic Control Unit (ECU) or other modules ("bricking").
• Loss of vehicle data or functionality.
• Voiding the vehicle manufacturer's warranty.
• Violating local laws or regulations regarding vehicle modifications.

To the fullest extent permitted by English law, ForgeWorks Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, damages for loss of profits, data, or other intangible losses, or for the cost of procurement of substitute goods or services, arising out of or in connection with your use of, or inability to use, the Software.

Our total liability to you for all claims arising from the use of the Software is limited to the total amount you have paid us for Credits in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by English law.

We reserve the right to suspend or terminate your account and access to the Software, without notice and at our sole discretion, if we believe you have breached these Terms. Grounds for termination include, but are not limited to:

• Using the Software for any illegal purpose.
• Sharing or distributing your account.
• Attempting to bypass security, authentication, or payment systems.
• Making false or malicious claims against ForgeWorks Labs for damage to a vehicle that was not the fault of the Software.

Upon termination, your license to use the Software is revoked, and you will not be entitled to a refund for any unused Credits.

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute, claim, or controversy arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to Terms:We reserve the right to modify these Terms at any time. We will provide notice of any significant changes. Your continued use of the Software after such changes constitutes your acceptance of the new Terms.
