ForgePoint Terms & Conditions

Please read these Terms carefully. They form a legally binding agreement between you and ForgeWorks Labs covering your use of ForgePoint, your account, and any credits you purchase.

1. About these Terms

These Terms and Conditions ("Terms") form a legally binding agreement between you ("you", "the User") and ForgeWorks Labs ("we", "us", "our") and govern your access to, and use of, the ForgePoint desktop application, any associated services, and any credits purchased for use within it (collectively, the "Software").

By creating an account, signing in, installing, or otherwise using the Software you confirm that you accept these Terms. If you do not accept these Terms you must not use the Software.

2. Eligibility

You may only use the Software if you:

  • Are at least 18 years old;
  • Have the legal capacity to enter into a binding contract in your country of residence;
  • Are acting in your personal capacity (or with the authority of the business whose vehicle you are working on); and
  • Own, or have the express permission of the owner of, any vehicle on which you use the Software.

The Software is intended for consumers resident in the United Kingdom. If you access the Software from outside the UK, you do so on your own initiative and are responsible for compliance with local law.

3. User Accounts

Account creation.To access most functions of the Software you must create a user account. You agree to provide accurate and complete information (first name, last name, email address) and to keep it up to date.

Credentials and security.You are solely responsible for keeping your account credentials confidential and for all activity under your account. You must notify us at hello@fwlabs.co.uk without undue delay if you suspect any unauthorised access.

One user per account.Each account is for the personal use of a single natural person. You may not share, sell, rent, lend, or transfer your account or credentials to any third party. Accounts which are shared or sold are subject to immediate suspension or termination and to forfeiture of any remaining credits in accordance with clause 9.

Device binding.As a fraud-prevention measure, accounts are bound to the device on which they are first used. Switching devices may require re-authentication and, in some cases, our assistance. A delegate (second) device may be registered where this facility is offered in-app.

4. Licence and Acceptable Use

Licence grant.Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on a compatible Windows device that you own or control, solely for your personal, non-commercial use (or, where you are a sole trader or small workshop, for your own internal trade use).

Ownership.The Software, its source code, user interface, assets, data models, and all associated intellectual property rights remain the exclusive property of ForgeWorks Labs or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

Restrictions.Except to the extent permitted by mandatory law (including section 296A of the Copyright, Designs and Patents Act 1988 in respect of interoperability), you must not, and must not permit any third party to:

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the Software;
  • modify, translate, adapt, or create derivative works based on the Software;
  • remove, obscure, or alter any proprietary notices, trademarks, or licence terms;
  • circumvent, disable, or otherwise interfere with any security, authentication, licence enforcement, telemetry, credit metering, or anti-tampering features;
  • use the Software, or any data obtained from it, to develop a product that competes with the Software;
  • use the Software to perform any work on a vehicle without the lawful consent of its registered keeper; or
  • use the Software for any purpose that is unlawful, fraudulent, or which would render a vehicle unlawful for use on a public road in the United Kingdom or in any other jurisdiction where it is to be driven (including, without limitation, alterations that would defeat emissions controls, tamper with odometers, or re-identify stolen vehicles).

Fair use.We may impose reasonable technical limits on the volume, frequency, or pattern of operations performed through the Software in order to protect the service and prevent abuse.

5. Credits and Payments

Credits.Core functions of the Software are metered using a virtual in-application token known as "Credits." Credits have no cash value outside the Software, cannot be exchanged for money, cannot be transferred between accounts, and do not constitute electronic money or a claim against a payment institution.

Pricing and purchase.Prices for Credits are shown in-app at the time of purchase. We may change prices at any time, but changes will not affect Credits already bought. Purchases are processed by our third-party payment provider, Stripe Payments UK, Limited. By making a purchase you also agree to Stripe's terms. We do not receive or store your full payment card details.

Immediate supply and waiver of the 14-day cancellation right.Credits are supplied as digital content. By completing a purchase and receiving the Credits immediately in your account, you expressly:

  • request that we begin the supply of the digital content immediately; and
  • acknowledge that you thereby lose your statutory right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 to cancel the purchase and receive a refund.

This confirmation is collected as part of the purchase flow.

No refunds.All purchases of Credits are final and non-refundable. Once Credits have been added to your account, we will not issue refunds for:

  • Credits you later decide you do not want or no longer need;
  • Credits deducted by operations you authorised within the Software;
  • Credits remaining on your account at termination, suspension, or account closure (whether initiated by you or by us under clause 9);
  • Credits which are forfeited under clause 3 for account sharing or under clause 9 for breach; or
  • Credits affected by issues outside our reasonable control, including connectivity problems between your device and the vehicle, vehicle condition, hardware interfaces, or network outages at your premises.

Your statutory rights.The clause above does not limit your statutory rights under the Consumer Rights Act 2015 to the extent that digital content supplied by us is not of satisfactory quality, not fit for purpose, or not as described. If you believe an operation failed solely because of a defect in the Software itself on a vehicle we officially list as supported, you may contact us at hello@fwlabs.co.uk and we will investigate. Where we are satisfied that the failure was caused by a defect in the Software (and not by vehicle condition, user input, hardware, network, or other external factors) we may, at our discretion, restore the affected Credits to your account as a goodwill gesture. Restoring Credits in this way is our sole remedy in such cases and is offered without admission of liability.

Chargebacks.Initiating a chargeback or payment dispute through your bank or card issuer in respect of Credits that have been supplied (rather than contacting us first at hello@fwlabs.co.uk) is a material breach of these Terms and may result in immediate suspension of your account.

6. Vehicle Safety and Acknowledgement of Risk

No affiliation.ForgePoint is an independent application. We are not affiliated with, authorised by, endorsed by, or in any way officially connected with General Motors, Stellantis, Opel, Vauxhall, or any of their subsidiaries, affiliates, or licensees. All product names, vehicle names, module names, and trade marks referenced in the Software are the property of their respective owners and are used solely for the purpose of identifying compatible vehicles.

Professional task.Vehicle diagnostics, coding, and module programming are inherently technical tasks that can cause serious damage if performed incorrectly. You acknowledge that:

  • you alone are responsible for deciding whether to perform any given operation on a given vehicle;
  • you have read and understood all in-app warnings shown before an operation begins;
  • you have ensured a stable power supply, a reliable interface, and correct vehicle preparation (ignition state, battery voltage, communication bus availability) before proceeding; and
  • you accept that some operations are one-way and cannot be undone.

Known risks.You accept that use of the Software may result in, among other things:

  • permanent damage to an Electronic Control Unit or other module ("bricking");
  • loss of vehicle configuration, personalisation, or security data;
  • failure of vehicle functions, including safety-related systems;
  • voiding of the vehicle manufacturer's warranty, dealer goodwill, or extended-warranty cover;
  • inability to pass an MOT or periodic roadworthiness test until re-calibrated; and
  • legal consequences where modifications render the vehicle non-compliant with road-traffic legislation.

Not a substitute for professional judgement.The Software does not replace the judgement of a qualified automotive technician. If in doubt, do not proceed.

7. Data Protection and Privacy

Controller.For the purposes of the UK GDPR and the Data Protection Act 2018, ForgeWorks Labs is the controller of the personal data it processes about you.

What we collect.We collect the minimum personal and technical data required to operate the Software, including your first name, last name, email address, and a device fingerprint made up of hardware identifiers (for example the primary network adapter's MAC address and the Windows machine GUID). We may also collect limited, pseudonymised usage analytics.

Vehicle data.The Software does not automatically transmit data read from your vehicle back to us. Where you voluntarily send us a diagnostic log for support, you are responsible for redacting any personal data (such as a VIN tied to your name) that you do not wish to share.

Full details.Our full Privacy Policy explains the lawful bases on which we process your data, how long we keep it, who it is shared with, your rights (including access, rectification, erasure, portability, objection, and the right to complain to the Information Commissioner's Office), and how to exercise them. The Privacy Policy forms part of these Terms by reference.

8. Disclaimer of Warranties

Consumer rights.Nothing in these Terms excludes or limits the statutory rights you have as a consumer under the Consumer Rights Act 2015, including rights that digital content be of satisfactory quality, fit for purpose, and as described.

Beyond those rights.Subject to the clause above, the Software is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all other warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Software will be uninterrupted, error-free, free of harmful components, or that it will produce any particular diagnostic or programming outcome on any given vehicle.

9. Suspension and Termination

By us.We may suspend or terminate your account and revoke your licence immediately, with or without notice, if we reasonably believe that you have breached these Terms or applicable law, including where you:

  • use the Software for an unlawful purpose;
  • share, sell, or otherwise distribute your account or credentials;
  • attempt to bypass security, authentication, device-binding, telemetry, or credit-metering systems;
  • initiate an unwarranted chargeback; or
  • make a false or malicious claim against us concerning damage caused to a vehicle.

Effect of termination.On termination your licence to use the Software ends and you must stop using it. Any unused Credits on your account at the point of termination are forfeited, and no refund will be given (without prejudice to any non-excludable statutory rights you may have under clause 5 or applicable consumer law).

By you.You may stop using the Software at any time. You may request deletion of your account at hello@fwlabs.co.uk, subject to our legal and regulatory retention obligations. Closing your account does not entitle you to a refund of any Credits.

Survival.Clauses 4, 5, 6, 7, 8, 9, 10, 11, and 12 survive termination where their nature requires it.

10. Liability

What we do not exclude.Nothing in these Terms limits or excludes our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • any liability which cannot lawfully be limited or excluded under English law (including, for consumers, non-excludable rights under the Consumer Rights Act 2015).

Business losses.Subject to the clause above, where you use the Software for the purposes of a business, we exclude all liability for loss of profits, loss of business, loss of revenue, loss of anticipated savings, loss of data, loss of use, loss of goodwill, or any indirect or consequential loss, however caused.

Cap on liability.Subject to the clause above, our total aggregate liability to you in contract, tort (including negligence), for breach of statutory duty, or otherwise arising under or in connection with these Terms or your use of the Software is limited to the greater of (i) the total amount you have paid us for Credits in the twelve (12) months immediately preceding the event giving rise to the claim, and (ii) one hundred pounds sterling (£100).

Vehicle damage.You accept that the Software is a tool which requires competent use. Save to the extent set out above, we accept no liability for damage to a vehicle, its modules, or its data that results from (a) your decision to perform an operation, (b) vehicle condition or pre-existing faults, (c) loss of power or communication during an operation, (d) use of incompatible or faulty interface hardware, (e) operations performed on a vehicle not officially listed as supported, or (f) your failure to follow warnings shown in-app.

11. Changes to the Software and these Terms

Changes to the Software.We may update, change, or withdraw features of the Software from time to time, including to improve security, comply with law, or address vulnerabilities. Where a change materially reduces functionality for Credits already purchased, we will where practicable notify you in advance.

Changes to these Terms.We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the latest version. Where changes are material we will make reasonable efforts to bring them to your attention (for example, by an in-app notice or by email). Your continued use of the Software after the change takes effect constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using the Software.

12. General

Entire agreement.These Terms, together with the Privacy Policy and any in-app purchase terms, constitute the entire agreement between you and us concerning the Software and supersede any prior understanding.

No assignment by you.You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms. We may assign our rights and obligations to a successor or affiliate.

No waiver.Our failure to enforce any right under these Terms is not a waiver of that right.

Severability.If any provision of these Terms is held to be unlawful, void, or unenforceable, the remainder will continue in full force and effect.

Third parties.A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

Governing law and jurisdiction.These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. You and we agree that the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer resident in Scotland or Northern Ireland you may also bring proceedings in your local courts.
